Terms of Service

These Terms of Service ("Terms") govern your access to and use of Fleet Centr websites, applications, and related services (collectively, the "Services"), including the Operations Platform and Fleet Centr Vehicle Tracking.

By creating an account, placing an order, or using the Services, you agree to these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business, and "you" includes that business.

If you do not agree to these Terms, you must not use the Services.

Fleet Centr provides software and related tools to help organisations manage operational assets, maintenance, compliance workflows, documentation, and optional vehicle tracking. Features available to you depend on the plan or product you purchase (for example, Vehicle Tracking, Operations Platform, or add-ons such as Aviation Tools or Safety Management).

We may update, improve, or discontinue features from time to time. Where a change materially reduces core paid functionality, we will provide reasonable notice where practicable.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate information and promptly update it when it changes.

You must not:

• use the Services unlawfully, or to facilitate unlawful activity;
• attempt to gain unauthorised access to systems, data, or accounts;
• interfere with or disrupt the integrity or performance of the Services;
• misrepresent your identity or affiliation;
• reverse engineer, copy, or resell the Services except as permitted by law or a separate written agreement with us.

Fees, billing intervals, included allowances, and device pricing are as stated at checkout or on our pricing pages at the time of purchase. Vehicle Tracking is charged per device (including any introductory period), then on a recurring monthly basis unless cancelled. Operations Platform and add-ons are billed according to the selected subscription.

Unless otherwise stated, fees are exclusive of applicable taxes. You authorise us (and our payment processors) to charge your nominated payment method for amounts due. Failure to pay may result in suspension or termination of access.

Hardware devices remain subject to any shipping, warranty, and returns terms presented at purchase. Title and risk in hardware pass as stated in those purchase terms.

Device warranty. The FCT-01 tracking device carries a 12-month replacement warranty from the date of purchase. If the device is found to be faulty within that period, we will replace it at no charge. This warranty does not cover loss, theft, or damage caused by misuse, accident, unauthorised modification, or removal, and it is in addition to any rights you may have under applicable consumer law.

Fleet Centr Vehicle Tracking is an entry-level tracking product intended to help you keep an eye on vehicle location, trips, and approximate distance. It is designed to be helpful for everyday operational awareness and basic servicing reminders. It is not a precision navigation, surveying, safety-critical, emergency response, law-enforcement, or mission-critical positioning system.

You acknowledge and agree that:

• Third-party hardware and connectivity. Tracking devices are manufactured and supplied by a third-party OEM under contract. Location and related telemetry may be transmitted via third-party network and platform infrastructure before being made available in Fleet Centr. That infrastructure is secured with appropriate controls and is not publicly accessible; however, you acknowledge that a third party is involved in the supply chain and data path.
• Positioning method and update rate. Devices attempt to report position using GPS and/or complementary network-assisted positioning methods, typically at intervals of approximately three seconds when conditions allow. Actual update frequency and availability may vary with signal quality, vehicle power state, network coverage, device condition, and environmental factors.
• Location accuracy is approximate. Reported positions are a best-effort estimate only. Accuracy may be affected by satellite geometry, multipath reflection, tunnels, dense urban areas, weather, antenna placement, OBD-port location, and other factors outside our control. The product is not highly calibrated and must not be relied upon where precise position is required.
• Calculated odometer / distance. Distance and odometer figures shown in Fleet Centr are derived primarily by summing tracked movement over each day. Because positioning itself is approximate, calculated totals may diverge from your vehicle's dashboard odometer over time. For basic servicing and usage awareness this is generally sufficient, but it is not guaranteed to match the vehicle meter. We recommend performing a manual odometer update in Fleet Centr at least once per month.
• No guarantee of continuous coverage. Tracking may be interrupted or delayed due to cellular coverage, device removal, vehicle power loss, hardware failure, maintenance, or force majeure events.

In short: Vehicle Tracking is intentionally priced as an accessible, best-effort tool. Most of the time it works well for keeping an eye on your fleet — but it is not perfect, and you must not rely on it where failure, delay, or inaccuracy could cause loss, injury, regulatory breach, or operational failure.

Fleet Centr, including any Aviation Tools, Safety Management features, forms, logs, calculations, manifests, duty tracking, or related functionality, is not approved, certified, or endorsed by any National Aviation Authority (including, without limitation, the FAA, CASA, or equivalent authorities in other jurisdictions).

You remain solely responsible for verifying the accuracy, completeness, and suitability of all tools, data, and outputs used in your operations. If you use Fleet Centr in connection with aviation or any other regulated activity, you must ensure that such use is appropriate under applicable law and your operational approvals, and you should obtain confirmation from appropriately qualified persons before relying on Fleet Centr for compliance with regulatory requirements.

Fleet Centr does not assume responsibility for regulatory non-compliance, unsafe operational decisions, or losses arising from reliance on the Services in a regulated context.

You retain ownership of data and content you submit to the Services ("Customer Data"). You grant Fleet Centr a licence to host, process, transmit, and display Customer Data solely as needed to provide and improve the Services, including through subcontractors and infrastructure providers described in our Privacy Policy.

You represent that you have all rights necessary to submit Customer Data and that doing so does not violate any law or third-party right.

The Services, including software, branding, documentation, and design, are owned by Fleet Centr or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services under your subscription, no rights are granted to you.

To the maximum extent permitted by law, the Services and any hardware supplied in connection with them are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, uninterrupted availability, or non-infringement.

Nothing in these Terms excludes rights that cannot be excluded under applicable consumer law (including the Australian Consumer Law, where it applies). Where liability cannot be excluded, it is limited to the fullest extent permitted by law, including (where applicable) resupply of services or payment of the cost of resupply.

To the maximum extent permitted by law, Fleet Centr and its suppliers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to your use of the Services — including reliance on vehicle location, trip history, calculated odometer values, forms, aviation tools, or other outputs.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Fleet Centr for the Services in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless Fleet Centr from claims, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your Customer Data, your breach of these Terms, or your use of the Services in regulated operations (including aviation) without appropriate approvals or verification.

You may stop using the Services and cancel eligible subscriptions as described in your account billing settings or by contacting us. We may suspend or terminate access if you breach these Terms, fail to pay fees, or if continued provision would pose legal or security risk. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including liability limits and disclaimers) will survive termination.

We may update these Terms from time to time. The "Last updated" date will change when we do. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.

These Terms are governed by the laws of Australia. Courts in Australia will have non-exclusive jurisdiction, without prejudice to any mandatory consumer protections that apply in your place of residence.
